These Terms and Conditions (“Terms”) constitute a legally binding agreement between I NET Services (“Company,” “We,” “Us,” or “Our”) and the client, individual, or entity (“User,” “Client,” or “You”) accessing our website at https://inetservices.co.in (“Website”) or using our services.

By accessing our Website or engaging our Services, you agree to be bound by these Terms. If you do not agree, you must cease using our services immediately.

1. Definitions

• Services: Refers to all business solutions provided by us, including but not limited to Digital Marketing, Website Development, Ecommerce Solutions, AI Implementation, Hosting/Domain assistance, and Digital Product setup.
• Deliverables: Any specific output created for the Client, such as website code, graphic designs, ad campaigns, or content.
• Third-Party Platforms: Refers to external service providers including, but not limited to, Google, Meta (Facebook/Instagram), WhatsApp, WordPress, Hosting Providers, and Payment Gateways.

2. Scope of Services & Specific Disclaimers

2.1 Digital Marketing (SEO, Google Ads, Meta Ads)

• Platform Authority: You acknowledge that we have no control over the policies, algorithms, or ranking factors of search engines (Google) or social media platforms (Meta, LinkedIn, etc.).
• No Guarantees: In compliance with Google’s Misrepresentation Policy, we do not guarantee specific search engine rankings (e.g., “#1 spot on Google”), specific numbers of leads, or a fixed Return on Ad Spend (ROAS). All marketing estimates are based on past performance and industry standards but are not promises of future results.
• Ad Spend: Advertising budgets (paid to Google/Meta) are separate from our service fees. You are solely responsible for paying ad spend directly to the platform unless otherwise agreed.
• Account Suspensions: We are not liable if a Third-Party Platform suspends your ad account or rejects your ads due to your business model, landing page content, or prior account history.

2.2 Website & Ecommerce Development

• Client Obligations: You must provide all necessary text, images, and product details in a timely manner. Delays in providing assets will result in a commensurate delay in project completion.
• Bugs & Maintenance: While we test all websites, we do not guarantee that the website will be error-free across all future browser updates. Post-launch maintenance is a separate billable service unless covered by a specific support package.
• Ecommerce Liability: We are not responsible for the quality of products you sell, shipping logistics, customer returns, or tax calculations. You are responsible for ensuring your online store complies with the Consumer Protection (E-Commerce) Rules, 2020.

2.3 AI Business Solutions

• Accuracy Disclaimer: AI tools (Chatbots, Content Generators) are probabilistic. We do not guarantee the accuracy, originality, or legality of AI-generated output.
• Human Oversight: You agree to review all AI-generated content before publishing or acting upon it. AI tools should not be relied upon for medical, legal, or financial advice.

2.4 Domains & Web Hosting

• Reseller Status: We act as a facilitator for domain and hosting services. The legal contract for these services is between you and the Third-Party Provider (e.g., GoDaddy, AWS, Hostinger).
• Renewals: It is the Client’s sole responsibility to renew domains and hosting before expiration. We are not liable for the loss of a domain name or website data due to non-payment or expiration.

3. Eligibility & Account Security

By using our services, you represent that:

1. You are at least 18 years old.
2. You have the authority to enter into a binding contract on behalf of your business.
3. All information and documents provided to us are accurate and genuine.

4. Payments, Billing & Refunds

4.1 Payment Terms

• Advance Payment: A deposit (percentage of total project value) is required before work commences.
• Milestones: Remaining payments are due upon agreed milestones.
• Taxes: All fees are exclusive of GST. Applicable taxes will be added to the invoice as per Indian Government regulations.

4.2 Refund Policy

• Service Fees: Once work has commenced or a design/campaign has been created, service fees are non-refundable due to the labor-intensive nature of our work.
• Third-Party Costs: We cannot refund money paid to third parties, including but not limited to Domain Registrars, Hosting Providers, Google Ads credit, or Software Licenses.

5. User Conduct & Prohibited Content

To ensure compliance with Google and Meta policies, you agree NOT to use our services to promote or host:

• Illegal Products: Drugs, weapons, counterfeit goods, or fake documents.
• Misleading Claims: “Get rich quick” schemes, miracle cures, or false promises.
• Harmful Content: Hate speech, harassment, adult/nude content, or violence.
• Malicious Tech: Viruses, malware, or phishing attempts.

Violation of this section gives us the right to terminate your service immediately without refund.

6. Intellectual Property (IP) rights

• Upon Full Payment: Once you have paid all fees in full, you own the copyright to the final specific visual designs and text content created for your project.
• Company Rights: I NET Services retains the right to use the completed work in our portfolio, case studies, and marketing materials unless you request a Non-Disclosure Agreement (NDA) in writing prior to project start.
• Background IP: We retain ownership of our underlying code libraries, proprietary tools, and methodologies used to create your project.

7. Third-Party Services & Data

We may integrate tools from Google, Meta, Payment Gateways (Razorpay/Stripe/PhonePe), and others.

• Your use of these tools is subject to their respective Terms of Service and Privacy Policies.
• We are not responsible for changes in their APIs, pricing, or service interruptions.

8. Limitation of Liability

To the maximum extent permitted by Indian Law:

• I NET Services shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or business goodwill.
• Our total liability for any claim arising out of these terms shall not exceed the total amount paid by you to us for the specific service in dispute.
• We are not liable for server downtime, internet outages, or hacking attacks affecting your website.

9. Indemnification

You agree to indemnify, defend, and hold harmless I NET Services, its employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from:

1. Your violation of these Terms.
2. Content you submit or publish (including copyright infringement claims).
3. Your violation of any Third-Party Platform policy (e.g., getting banned from Facebook Ads).
4. Disputes between you and your customers.

10. Privacy & Communication

• Consent: By providing your contact details, you consent to receive communications via Email, Phone, SMS, and WhatsApp regarding project updates, invoices, and marketing offers.
• Data Protection: We process your data in accordance with our Privacy Policy and applicable laws (Digital Personal Data Protection Act). We do not sell your data to third parties.

11. Termination

• By Client: You may cancel services at any time. You remain liable for all work completed up to the cancellation date.
• By Company: We may terminate services if you fail to pay invoices, use abusive language toward our staff, or violate these Terms.

12. Governing Law & Dispute Resolution

• These Terms are governed by the laws of India.
• Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in City- Jalgaon, Dist- Jalgaon, Pin- 425001, Maharashtra.
